About Negent Systems
Negent Systems Limited (“Negent Systems,” “Negent,” “we,” “us,” or “our”) is a technology company focused on building enterprise applications and digital infrastructure for businesses. These Terms of Use (“Terms”) govern your access to and use of our websites, applications, software products, platforms, APIs, and related services (collectively, the “Services”).
Our Services may include enterprise software applications, business management platforms, leasing and asset management solutions, customer onboarding and KYC solutions, payment and billing infrastructure, APIs and software integrations, data and reporting tools, mobile and web applications, AI-powered business tools, and custom software solutions.
1. Acceptance of These Terms
By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Services.
Individual products or services may have additional terms, policies, service agreements, or documentation that apply to their use.
2. Eligibility
You may use our Services only if you are legally capable of entering into a binding agreement.
If you are accessing or using our Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
You are responsible for ensuring that your use of our Services complies with all laws and regulations applicable to you and your organization.
3. Accounts and Access
Certain Services may require you to create an account. When creating or maintaining an account, you agree to provide accurate and complete information, keep account information up to date, protect your login credentials, use appropriate security measures, notify us of suspected unauthorized access, and remain responsible for activity conducted through your account.
Where an account is managed by an organization, the organization may control user access, permissions, and account administration.
4. Acceptable Use
You agree to use our Services only for lawful and legitimate business purposes.
You must not:
• Use the Services for unlawful, fraudulent, deceptive, or abusive activities.
• Attempt to gain unauthorized access to our systems, networks, accounts, or data.
• Circumvent security or authentication mechanisms.
• Interfere with or disrupt the operation of the Services.
• Introduce malicious software, viruses, or harmful code.
• Reverse engineer, decompile, or attempt to extract source code except where expressly permitted by applicable law.
• Scrape, copy, or systematically extract data without authorization.
• Use the Services to violate another person’s privacy or intellectual property rights.
• Use the Services to transmit illegal, harmful, threatening, defamatory, or fraudulent content.
• Resell, sublicense, lease, or distribute the Services without prior written authorization.
• Use the Services to develop or provide a competing service in violation of an applicable agreement.
We reserve the right to investigate suspected violations and take appropriate action, including restricting or terminating access.
5. Your Business Data
You may provide, upload, transmit, or otherwise make available information and data to our Services (“Customer Data”). You retain ownership of your Customer Data.
You grant Negent Systems the limited rights necessary to host, process, transmit, store, and otherwise use Customer Data solely to provide, maintain, secure, and improve the Services, or as otherwise permitted by an applicable agreement or law.
You are responsible for ensuring that you have the necessary rights and permissions to provide Customer Data, that your collection and use of Customer Data complies with applicable laws, that required notices or consents have been obtained, and that your Customer Data does not violate applicable laws or third-party rights.
6. Privacy and Personal Data
Our processing of personal information is governed by our Privacy Policy and applicable data protection laws. Depending on the Services you use and your location, applicable requirements may include the Nigeria Data Protection Act 2023 and other relevant legislation.

7. Intellectual Property
The Services, including software, designs, interfaces, trademarks, logos, documentation, content, technology, and underlying infrastructure, are owned by or licensed to Negent Systems and are protected by applicable intellectual property laws.
Except for the limited right to use the Services in accordance with these Terms or an applicable agreement, no rights are granted to you. You may not copy, reproduce, modify, distribute, sell, license, or create derivative works from our Services or intellectual property without prior written authorization.
Negent Systems, our logos, product names, and related marks are trademarks or identifiers of Negent Systems or their respective owners.
8. Customer Feedback
If you provide suggestions, ideas, recommendations, or other feedback regarding our Services, you grant Negent Systems the right to use that feedback without restriction or compensation, provided that such use does not disclose your confidential information.
9. Third-Party Services and Integrations
Our Services may integrate with or depend on third-party services, including payment providers, identity verification providers, cloud infrastructure providers, communication services, analytics platforms, and other technology providers.
Third-party services may be subject to their own terms and privacy policies. Negent Systems is not responsible for the availability, security, performance, or content of third-party services that we do not control.
10. Service Availability
We aim to provide reliable and secure Services, but we do not guarantee that the Services will always be available, uninterrupted, or error-free.
Services may occasionally be unavailable due to scheduled or emergency maintenance, infrastructure failures, third-party service disruptions, network failures, security incidents, or events outside our reasonable control.
Specific availability commitments, service levels, support obligations, or uptime guarantees may be established in a separate agreement with a customer.
11. Changes to the Services
We may modify, improve, replace, or discontinue portions of our Services from time to time. Where commercially or legally appropriate, we may provide notice of material changes.
Nothing in these Terms requires us to maintain a particular feature, functionality, integration, or version of a Service indefinitely unless expressly agreed in a separate written agreement.
12. Fees and Payments
Certain Services may require payment of subscription fees, usage fees, implementation fees, transaction fees, or other charges.
Applicable pricing, billing cycles, payment terms, and subscription conditions will be presented when you purchase or subscribe to a Service or may be established under a separate commercial agreement.
Unless otherwise stated, fees are non-refundable except where required by applicable law or expressly agreed otherwise. We may suspend or restrict paid Services where applicable fees remain unpaid.
13. Confidentiality
Each party may receive confidential information belonging to the other party in connection with the Services. Each party agrees to use reasonable measures to protect confidential information and to use it only for legitimate purposes related to the business relationship.
Confidentiality obligations may be further defined in a separate confidentiality agreement, master services agreement, enterprise agreement, or other written contract.
14. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
Negent Systems does not warrant that the Services will meet every specific business requirement, always operate without interruption or errors, always provide complete or accurate information, or remain free from all security vulnerabilities.
Where our software provides analytics, recommendations, AI-generated content, automated decisions, or other outputs, you remain responsible for reviewing those outputs and determining whether they are appropriate for your business or intended use.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Negent Systems and its directors, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Services, including loss of profits, revenue, business opportunities, data, goodwill, or business interruption.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
For enterprise customers, liability limitations may instead be governed by the applicable commercial agreement.
16. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Negent Systems and its directors, officers, employees, affiliates, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the Services, violation of these Terms, violation of applicable law, violation of third-party rights, or Customer Data or other content you provide through the Services.
17. Suspension and Termination
We may suspend or terminate your access to the Services if you materially violate these Terms, engage in fraudulent, abusive, or unlawful activity, create a security risk, fail to pay applicable fees, if we are legally required to do so, or if continued access could harm our systems, customers, or other users.
Where appropriate, we will provide reasonable notice and an opportunity to resolve the issue before suspension or termination. Termination does not affect rights or obligations that by their nature should survive termination.
18. Enterprise and Custom Agreements
Some Negent Systems customers may receive customized software, dedicated infrastructure, professional services, implementation services, APIs, support, or other enterprise solutions.
Those services may be governed by additional agreements, including Master Service Agreements, Statements of Work, Subscription Agreements, Data Processing Agreements, Service Level Agreements, and Enterprise Terms.
If there is a conflict between these Terms and a separately executed written agreement, the applicable written agreement will control to the extent of the conflict.
19. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we may update the “Last Updated” date and, where appropriate, provide additional notice.
Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms.
20. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, unless a separate written agreement with a customer provides otherwise.
Any disputes arising in connection with these Terms shall be subject to the applicable courts and dispute-resolution mechanisms provided under Nigerian law.
21. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.
22. Entire Agreement
These Terms constitute the general agreement between you and Negent Systems regarding your use of the Services, unless a separate written agreement applies.
Additional terms applicable to a particular product, service, subscription, or enterprise customer may supplement or supersede these Terms.
